This goes hand in hand with a different entrepreneurial understanding and attribution of economic problems; the focus is no longer on debt, but on correction.<\/p>\n<p class=\"p1\">The reorganisation and restructuring process is carried out by the StaRUG in a <b>formalised procedures<\/b> outside of insolvency proceedings and represents a low-threshold <b>Remodelling option <\/b>However, this requires consensual solutions from the parties involved.<\/p>\n<p class=\"p1\">In contrast to insolvency proceedings, reorganisation moderation takes place on the debtor's initiative and only with those creditors that the debtor deems necessary after consultation with the reorganisation moderator.<\/p>\n<h2>2. localisation of the restructuring moderation<\/h2>\n<p class=\"p1\"><span class=\"s1\">The following overview shows the location of the restructuring moderator<\/span> in the tragedy of economic decline; although there is no insolvency yet, a clear financial imbalance will lead to this in the foreseeable future.<\/p>\n<p class=\"p2\"><strong><i>Common reorganisation options for restructuring companies in distress<\/i><\/strong><\/p>\n<ul class=\"ul1\">\n<li class=\"li3\"><strong><span class=\"s3\"><i>the \"free\" reorganisation outside the scope of the SraRUG,<\/i><\/span><\/strong>\n<ul class=\"ul2\">\n<li class=\"li3\"><span class=\"s3\"><i>\"quietly\", e.g. without all creditors - external logistics, delivery services, suppliers, etc. - having to find out about the reorganisation,<\/i><\/span><\/li>\n<li class=\"li3\"><span class=\"s3\"><i>agreements and reorganisation measures that are not insolvency-proof or contestable,<\/i><\/span><\/li>\n<\/ul>\n<\/li>\n<li class=\"li3\"><span class=\"s3\"><b><i>the reorganisation moderation according to \u00a7\u00a7 94 ff StaRUG (our case here),<\/i><\/b><\/span>\n<ul class=\"ul2\">\n<li class=\"li3\"><span class=\"s3\"><i>almost \"quietly\", e.g. without all creditors having to find out about the reorganisation,<\/i><\/span><\/li>\n<li class=\"li3\"><span class=\"s3\"><i>insolvency-proof and contestable,<\/i><\/span><\/li>\n<\/ul>\n<\/li>\n<li class=\"li3\"><span class=\"s3\"><i><strong>the reorganisation moderation according to \u00a7\u00a7 94 ff StaRUG using moratoria\u00a0<\/strong>(enforcement freeze, realisation freeze) <strong>according to \u00a7\u00a7 49 ff StaRUG,<\/strong><\/i><\/span>\n<ul class=\"ul2\">\n<li class=\"li3\"><span class=\"s3\"><i>almost \"quietly\", not all creditors need to know about the reorganisation,<\/i><\/span><\/li>\n<li class=\"li3\"><span class=\"s3\"><i>insolvency-proof and contestable,<\/i><\/span><\/li>\n<\/ul>\n<\/li>\n<li class=\"li3\"><strong><span class=\"s3\"><i>restructuring under its own responsibility in accordance with the rules of the stabilisation and utilisation framework under Part 2 StaRUG,<\/i><\/span><\/strong>\n<ul class=\"ul2\">\n<li class=\"li3\"><span class=\"s3\"><i>all creditors must be included in the reorganisation,<\/i><\/span><\/li>\n<li class=\"li3\"><span class=\"s3\"><i>insolvency-proof and contestable,<\/i><\/span><\/li>\n<\/ul>\n<\/li>\n<li class=\"li3\"><strong><span class=\"s3\"><i>judicial restructuring in accordance with the rules of the stabilisation and utilisation framework under Part 2 StarRUG,<\/i><\/span><\/strong>\n<ul class=\"ul2\">\n<li class=\"li3\"><span class=\"s3\"><i>all creditors must be included in the reorganisation,<\/i><\/span><\/li>\n<li class=\"li3\"><span class=\"s3\"><i>insolvency-proof and contestable,<\/i><\/span><\/li>\n<\/ul>\n<\/li>\n<li class=\"li3\"><strong><span class=\"s3\"><i>the protective shield proceedings pursuant to section 270d InsO and<\/i><\/span><\/strong><\/li>\n<li class=\"li3\"><span class=\"s3\"><i><strong>the insolvency proceedings<\/strong> (standard insolvency proceedings, self-administration, both also as insolvency plan proceedings).<\/i><\/span><\/li>\n<\/ul>\n<h2><strong>3. aim of the reorganisation moderation<\/strong><\/h2>\n<p class=\"p2\">Your goal is<\/p>\n<ul class=\"ul1\">\n<li class=\"li3\"><span class=\"s1\">the amicable conclusion of a reorganisation settlement (not a reorganisation plan in accordance with\u00a0<span class=\"s2\">\u00a7\u00a7 2 ff. StaRUG.<\/span>)<\/span><\/li>\n<li class=\"li3\"><span class=\"s1\">between the creditors, the company at risk and other parties involved<\/span><\/li>\n<li class=\"li3\"><span class=\"s1\">within 3 months<\/span><\/li>\n<li class=\"li3\"><span class=\"s1\">to avert corporate insolvency.<\/span><\/li>\n<\/ul>\n<ul class=\"ul1\">\n<li class=\"li4\"><b>and thus a reorganisation comparison<\/b>which sets the creditor contributions in relation to each other!!! This would not be possible with a majority of simple, bilateral settlements between the debtor and his creditors.<\/li>\n<\/ul>\n<h2 class=\"p4\"><b>4. labour and <\/b><b>Tasks of the reorganisation moderator in the reorganisation moderation<\/b><\/h2>\n<ul>\n<li class=\"p2\">After being appointed by the court, the moderator inspects the company's books and business records.<\/li>\n<li class=\"p2\">He also requests appropriate information from the debtor.<\/li>\n<li>The reorganisation moderator <strong>essentially mediates the interests of all parties involved in the reorganisation<\/strong>.<\/li>\n<li>Finally, a reorganisation settlement is to be concluded, <span class=\"s2\">\u00a7<\/span><span class=\"s2\">97 para.<\/span><span class=\"s2\">1<\/span>. The reorganisation settlement requires the consent of all parties involved in the settlement. A qualified majority similar to, <span class=\"s2\">\u00a7 25<\/span> StaRUG, is not sufficient. In addition, the reorganisation settlement only has effect vis-\u00e0-vis the parties to the settlement; it has no effect vis-\u00e0-vis third parties.<\/li>\n<li>The reorganisation moderator reports to the court in writing on a monthly basis about\u00a0<span class=\"s4\">the nature and causes of the economic or financial difficulties,\u00a0<\/span><span class=\"s4\">the group of creditors and other parties involved in the negotiations,\u00a0<\/span><span class=\"s4\">the subject of the negotiations,\u00a0<\/span><span class=\"s4\">the goal and\u00a0<\/span><span class=\"s4\">the expected progress of the negotiations.<\/span><\/li>\n<li>If the restructuring moderation fails, the more complex stabilisation and restructuring framework may have to be applied in accordance with\u00a0 <span class=\"s2\">\u00a7\u00a7 2 ff<\/span>\u00a0 StaRUG.
